Contract Position

Summary

This job is for a Corporate Counsel position at Galaxy, a digital asset and blockchain leader. The role involves reviewing, drafting, and negotiating complex commercial contracts, with a focus on technology, IT, SaaS contracts, privacy, and intellectual property. The ideal candidate should have 3-5 years of experience in negotiating technology contracts and working with IP and privacy matters.

What you'll do

  • Act as a strategic legal advisor for Galaxy with respect to commercial vendor transactions
  • Review, negotiate, and document various technology agreements, procurement and vendor contracts
  • Issue-spot and appropriately escalate risks and concerns that may exist with technology agreements or vendor contracts
  • Coordinate resources with respect to negotiations, including management of outside counsel engagement where appropriate
  • Collaborate with other functional partners and businesses to ensure appropriate awareness and escalation of issues
  • Advise on the accuracy and sufficiency of contractual documentation to effectively protect Galaxy interests
  • Draft and negotiate non-disclosure agreements
  • Oversee matters related to data, privacy, and security, and manage privacy compliance programs
  • Draft, review, and negotiate a variety of contracts related to data sharing, software development and licensing matters
  • Manage IP and brand protection matters
  • Manage workflow in a highly dynamic and demanding environment while remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of Galaxy
  • Help with other special corporate projects and such other activities as may be assigned

Requirements

  • Three to five years of experience at a large law firm or combined law firm/in-house experience negotiating technology, IT and SaaS master services agreements, statements of work, and related documentation
  • Experience working with intellectual property (IP) and privacy matters
  • Highly organized with meticulous attention to detail
  • At least 3-5 years of transactional experience reviewing, advising on and drafting technology and other commercial vendor contracts, and working directly with technology, operations and procurement stakeholders
  • Experience in data privacy, IP law and the use and provision of technology in the context of Technology & Managed Services Agreements
  • Active membership in the NY state bar
